End User License Agreement

This End User License Agreement ("EULA") is a binding agreement between you and Briefly Wealth LLC ("Brieflywealth," "we," "us," or "our") governing your download, installation, and use of the Briefly Connector, the software you install locally to use Briefly inside Anthropic's Claude application, together with its documentation and any updates (the "Connector"). By downloading, installing, signing in to, or using the Connector, you (a) acknowledge that you have read and understand this EULA, (b) represent that you are at least 18 years of age and legally able to enter into a binding contract, and (c) accept this EULA and agree to be bound by its terms. If you do not agree, do not download, install, or use the Connector.

Relationship to the Customer Agreement. The Connector is licensed to the firm or individual that holds the Briefly account and subscription (the "Customer") under the Briefly Terms of Service or a separately signed agreement between the Customer and Brieflywealth (either, the "Customer Agreement"). This EULA binds each individual who installs or uses the Connector under the Customer's account (an "End User"). If you are the Customer, both the Customer Agreement and this EULA apply to you. If this EULA conflicts with the Customer Agreement, the Customer Agreement controls as to the rights and obligations of the Customer.

§ 01

License Grant

Subject to your compliance with this EULA and the Customer Agreement, Brieflywealth grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) download and install the Connector on computers or devices that you own or control; and (b) use the Connector within Anthropic's Claude application, solely for the Customer's internal business purposes and within the seats and entitlements assigned to the Customer's account.

§ 02

License Restrictions

You shall not:

  • Copy the Connector, except as necessary to install and run it or to keep one archival copy.
  • Modify, translate, adapt, or create derivative works of the Connector.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Connector, except to the extent applicable law permits this notwithstanding this restriction.
  • Distribute, sell, rent, lease, lend, host, or otherwise make the Connector available to any person other than End Users authorized under the Customer's account.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices in or on the Connector.
  • Circumvent, disable, or interfere with the Connector's seat, entitlement, authentication, or usage-metering mechanisms.
  • Use the Connector to develop a competing product or service, or for benchmarking or competitive analysis purposes.
  • Share your sign-in credentials, use another person's seat, or access another user's account.
  • Use the Connector in violation of any applicable law or regulation, or of the Acceptable Use provisions of the Customer Agreement, which apply to your use of the Connector as an End User.
§ 03

Reservation of Rights

The Connector is provided under license, and not sold, to you. You receive no ownership interest in the Connector, and Brieflywealth and its licensors retain all rights, title, and interest in and to the Connector, including all software, prompts, workflow architecture, documentation, and all copyrights, trademarks, and other intellectual property rights therein. All rights not expressly granted in this EULA are reserved. Nothing in this EULA grants you any rights by implication, estoppel, or otherwise.

§ 04

Your Files, Local Processing, and What Brieflywealth Receives

The Connector reads client files from a folder on your own computer. Those files, and any client data within them ("Client Data"), are not uploaded to or stored on Brieflywealth's infrastructure. Content from your files enters an AI model only when you use the Connector inside your own Claude conversation, and that processing runs on the Customer's own Claude or Anthropic plan, under the Customer's own agreement with Anthropic. Brieflywealth does not transmit your Client Data to Anthropic on your behalf.

What the Connector does send Brieflywealth. To operate the account layer of the Service, the Connector transmits to Brieflywealth: (a) account and sign-in information; (b) seat and entitlement records; (c) usage event records describing each tool call (the tool invoked, the event type, the outcome, seat and firm identifiers, an internal cost figure, and timestamps), which do not include the contents of your files, your prompts, or your Outputs; and (d) de-identified, tokenized preference rules that are stripped of client names, account numbers, and other identifying detail before they leave your computer. This information is handled as described in our Privacy Policy. By using the Connector, you consent to this processing.

§ 05

Claude and Third-Party Services

The Connector functions only inside Anthropic's Claude application and requires a Claude plan to use. Claude is a third-party service. Your use of Claude is governed by the Customer's agreement with Anthropic, and Anthropic's handling of content you pass into a Claude conversation is governed by Anthropic's own terms and privacy documentation, not by this EULA or by Brieflywealth's Privacy Policy. Brieflywealth does not control, and is not responsible for, Claude's availability, behavior, outputs, or data handling, or those of any other third-party application or service you use with the Connector.

Anthropic offers plan types that differ in how customer content is retained and used. Selecting and maintaining a Claude plan appropriate to the Customer's regulatory and confidentiality obligations is the Customer's responsibility.

§ 06

Outputs

Briefs, summaries, and other materials generated through the Connector ("Outputs") are produced by automated AI processing within your own Claude session and are subject to the Outputs and Disclaimer provisions of the Customer Agreement, which apply to you as an End User. Outputs do not constitute financial, investment, legal, tax, or compliance advice; they may contain errors, omissions, or hallucinated content, including statements that appear to be sourced from your files but do not in fact appear there; and you are solely responsible for verifying every factual assertion in an Output against the underlying source material before any client-facing or professional use.

§ 07

Updates

Brieflywealth may from time to time release updates to the Connector, including new versions of the installable package, bug fixes, security patches, and feature changes. Some updates may be required for the Connector to continue working with the Service or with current versions of Claude, and Brieflywealth has no obligation to maintain or support superseded versions. All updates are part of the Connector and are governed by this EULA.

§ 08

Term and Termination

This EULA is effective from the date you first download, install, or use the Connector and continues until terminated. This EULA terminates automatically, without notice, when the Customer Agreement or the Customer's subscription expires or is terminated, or when the Customer deactivates the seat under which you use the Connector. You may terminate this EULA at any time by uninstalling and deleting the Connector. Brieflywealth may terminate this EULA immediately upon written notice if you breach it.

Upon termination, you must stop using the Connector and delete all copies of it. Termination does not affect your client files, which remain in your own folder on your own computer and were never held by Brieflywealth; account-layer data held by Brieflywealth is retained and deleted according to the schedule in the Privacy Policy. Sections 03 through 06 and 09 through 16 survive termination.

§ 09

Disclaimer of Warranties

THE CONNECTOR IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE CONNECTOR WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, THAT IT WILL REMAIN COMPATIBLE WITH ANY VERSION OF CLAUDE, OR THAT ANY OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE. WE DO NOT WARRANT THAT THE CONNECTOR WILL SATISFY ANY SPECIFIC REGULATORY OR COMPLIANCE REQUIREMENTS APPLICABLE TO YOUR PRACTICE.

§ 10

Limitation of Liability

To the fullest extent permitted by law, Brieflywealth's aggregate liability to you as an End User arising out of or related to this EULA shall not exceed the greater of (a) the amounts you personally paid for your license to the Connector in the twelve (12) months preceding the event giving rise to the claim or (b) one hundred dollars ($100). In no event shall Brieflywealth be liable to you for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

The Customer's remedies against Brieflywealth are governed by the Customer Agreement, not by this EULA. Nothing in this Section limits liability for gross negligence or willful misconduct, or any liability that cannot be limited as a matter of law.

§ 11

Indemnification

You agree to indemnify, defend, and hold harmless Brieflywealth and its officers, directors, employees, agents, and affiliates from and against any losses, damages, liabilities, and costs (including reasonable attorneys' fees) arising from or relating to your use or misuse of the Connector in violation of this EULA or applicable law, or your breach of this EULA. This obligation does not apply to the extent a claim arises from Brieflywealth's own breach of this EULA, gross negligence, or willful misconduct, and it does not expand any indemnification obligation the Customer has under the Customer Agreement.

§ 12

Export Regulation

The Connector may be subject to U.S. export control laws, including the Export Control Reform Act and its associated regulations. You shall not, directly or indirectly, export, re-export, or release the Connector to, or make the Connector accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation, and you shall comply with all applicable federal laws, regulations, and rules prior to exporting, re-exporting, releasing, or otherwise making the Connector available outside the United States.

§ 13

U.S. Government End Users

The Connector is commercial computer software as defined in 48 C.F.R. § 2.101. Accordingly, if you are an agency of the U.S. Government or any contractor therefor, you receive only those rights with respect to the Connector as are granted to all other end users under license, in accordance with 48 C.F.R. § 12.212 and 48 C.F.R. §§ 227.7202-1 through 227.7202-4, as applicable.

§ 14

Governing Law and Venue

This EULA shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising out of or relating to this EULA or the Connector shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

§ 15

Limitation of Time to File Claims

Any cause of action or claim you may have arising out of or relating to this EULA or the Connector must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

§ 16

Severability, Waiver, and Entire Agreement

If any provision of this EULA is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term, and all other provisions of this EULA will continue in full force and effect. No failure to exercise, and no delay in exercising, any right or power under this EULA operates as a waiver of that right or power, and no single or partial exercise of any right or power precludes further exercise of that or any other right or power.

This EULA, the Privacy Policy, and the Customer Agreement constitute the entire agreement between you and Brieflywealth with respect to the Connector and supersede all prior or contemporaneous understandings regarding it. As to the Customer, the Customer Agreement controls in the event of a conflict with this EULA.
